第1条（適用範囲）

  1. 本利用規約（以下「本規約」といいます）は、ZEN AUDIO（以下「当社」といいます）が提供するWebサイトおよび関連サービス（以下「本サービス」といいます）の利用条件を定めるものです。
  2. ユーザーは、本サービスを利用することにより、本規約に同意したものとみなされます。

第2条（サービス内容）

  1. 本サービスには、以下の機能が含まれます。
    • Webサイトの閲覧
    • アカウントの作成、編集、管理
    • 製品情報の閲覧、購入ページへのアクセス
    • 引き換えコードの入力・利用
    • その他当社が提供する関連コンテンツおよび機能
  2. 本サービスを通じて提供されるソフトウェア製品は、主としてVST/AU等のオーディオプラグインです。

第3条（購入とライセンス登録）

  1. 当社製品の購入方法は以下の二通りがあります。

    (1) 公式ストアからの購入：当社Webサイト上の公式ストアにて製品を購入した場合、決済は再販業者であるPaddleを通じて処理されます。購入完了後、当該製品のライセンスは自動的にユーザーのアカウントに登録されます。

    (2) 引き換えコードによる登録：当社公式ストア以外（物理イベント等）で引き換えコードを受け取った場合、ユーザーは当社Webサイトのマイアカウントページに当該コードを入力することで、製品ライセンスを自身のアカウントに登録することができます。

  2. 公式ストアからの購入については、Paddleの定める利用規約・取引条件が適用されます。

第4条（ライセンス）

  1. 各製品のライセンス条件は、製品ごとに定められるエンドユーザーライセンス契約（EULA）に従います。
  2. ユーザーは、当社製品を再配布、リバースエンジニアリング、改変することはできません。

第5条（返金ポリシー）

  1. 当社が販売するデジタル製品は、支払いが処理され、製品ライセンスが発行された後は、返品・返金を行うことはできません。
  2. 返金の可否については、Paddleのポリシーに従う場合があります。

第6条（禁止事項）

ユーザーは、本サービスの利用にあたり、以下の行為を行ってはなりません。

  1. 法令または公序良俗に違反する行為
  2. 当社または第三者の権利を侵害する行為
  3. 不正アクセス、情報改ざん、ウイルス等の有害プログラムの送信
  4. 本サービスの運営を妨害する行為

第7条（免責事項）

  1. 当社は、本サービスまたは当社製品の利用によりユーザーまたは第三者に生じたいかなる直接的・間接的な損害、特別損害、付随的損害、結果的損害、逸失利益についても、一切の責任を負いません。
  2. 当社は、本サービスまたは当社製品が常に正確、完全、適切、無停止で提供されること、特定の目的に適合すること、エラーがないこと、第三者の権利を侵害しないこと、その他の一切の保証を行いません。
  3. 当社は、ユーザーの環境（OS、DAW、プラグインホスト、ハードウェア等）との互換性や動作保証について責任を負いません。
  4. 当社は、Paddleその他の第三者サービスに起因するトラブルや損害について責任を負いません。
  5. 本サービスまたは当社製品の提供が中断、遅延、終了した場合でも、当社はこれにより生じたいかなる損害についても責任を負いません。
  6. 本免責事項は、適用法令により制限される範囲を超えて適用されるものではなく、当社の責任は法的に許される最大限まで制限されます。

第8条（規約の変更）

  1. 当社は、事前の通知なくいつでも本規約を変更する権利を留保します。
  2. 変更後の規約は、本ウェブサイトに掲載された時点から効力を発します。
  3. 変更後の規約が掲載された後もユーザーが本サービスを利用した場合、変更後の規約に同意したものとみなされます。

第9条（準拠法・裁判管轄）

  1. 本規約は日本法に準拠します。
  2. 本サービスに関して紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第10条（言語）

本規約の日本語版を原本とし、英語版は参考のために提供されます。両者に齟齬がある場合、日本語版が優先して適用されます。

本規約は、2025年9月4日に最終更新されました。

English Version

Article 1 (Scope of Application)

  1. These Terms of Use (“Terms”) set forth the conditions for using the website and related services (“Services”) provided by ZEN AUDIO (“we,” “our,” or “us”).
  2. By using the Services, users are deemed to have agreed to these Terms.

Article 2 (Description of Services)

  1. The Services include the following:
    • Browsing the website
    • Creating, editing, and managing accounts
    • Accessing product information and purchase pages
    • Redeeming codes
    • Any other content and functions provided by us
  2. Products provided through the Services primarily consist of audio plugin software such as VST/AU.

Article 3 (Purchase and License Registration)

  1. Our products can be obtained in the following ways:

    (1) Purchase via the Official Store: When purchasing through our official store on the website, payment is processed through the reseller Paddle. Upon completion of the purchase, the product license is automatically registered to the user’s account.

    (2) Registration with Redeem Codes: When obtaining a redeem code through means other than the official store (e.g., physical events), users may enter the code on the “My Account” page of our website to register the product license to their account.

  2. For purchases made via the official store, the terms and conditions established by Paddle shall govern the purchase agreement.

Article 4 (License)

  1. Each product is subject to its own End User License Agreement (EULA).
  2. Users may not redistribute, reverse-engineer, or modify our products.

Article 5 (Refund Policy)

  1. Digital products sold by us cannot be returned or refunded once payment has been processed and product licenses have been issued.
  2. Refund eligibility may also be subject to Paddle’s policies.

Article 6 (Prohibited Acts)

Users must not engage in the following acts when using the Services:

  1. Acts that violate laws or public order and morals
  2. Acts that infringe upon the rights of us or third parties
  3. Unauthorized access, data tampering, or transmission of harmful programs such as viruses
  4. Acts that interfere with the operation of the Services

Article 7 (Disclaimer)

  1. We shall not be liable for any direct, indirect, special, incidental, consequential, or exemplary damages, including but not limited to loss of profits, arising from the use of or inability to use the Services or our products, even if we have been advised of the possibility of such damages.
  2. We make no warranties that the Services or our products will always be accurate, complete, appropriate, uninterrupted, error-free, fit for a particular purpose, non-infringing, or otherwise guaranteed.
  3. We are not responsible for compatibility or proper functioning of our products with the user’s environment, including but not limited to operating systems, DAWs, plugin hosts, or hardware.
  4. We disclaim any liability for issues or damages arising from Paddle or other third-party services.
  5. We shall not be liable for any damages caused by suspension, delay, or termination of the Services or our products.
  6. These disclaimers and limitations of liability shall apply to the maximum extent permitted by applicable law.

Article 8 (Amendments to Terms)

  1. We reserve the right to amend these Terms at any time without prior notice.
  2. The amended Terms shall become effective at the time they are published on this website.
  3. Continued use of the Services after the amended Terms have been published shall constitute acceptance of the amended Terms.

Article 9 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by the laws of Japan.
  2. Any disputes arising out of or in connection with the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 10 (Language)

The Japanese version of these Terms shall be the original, and the English version is provided for reference only. In the event of any discrepancy between the two versions, the Japanese version shall prevail.
